'Clarity on leadership is important': Tata Sons chairman N Chandrasekaran steps down
N Chandrasekaran has decided not to seek reappointment as chairman of Tata Sons when his current term ends on February 20, 2027. His decision comes ahead of the company’s annual general meeting scheduled for August 18 and amid reported differences over his continuation in the role.
In a statement, Chandrasekaran said he had completed four decades with the Tata Group and described his tenure as chairman as both an honour and a responsibility.
"I have completed 40 years of professional life at the Tata Group. I am grateful for the immensely satisfying opportunity to contribute to this venerable institution. Leading Tata Sons over the past decade has been a great honour and a profound responsibility."
Why Chandrasekaran decided against another term
Chandrasekaran said the Tata Sons board had considered extending his tenure for another five years after February 2027. According to his statement, the Sir Dorabji Tata Trust and Sir Ratan Tata Trust had unanimously recommended the extension, which was also recorded and recommended by the Tata Sons Nomination and Remuneration Committee and the board.
However, the proposal did not receive unanimous support when it was placed before the Tata Sons board on February 24, 2026.
"Sir Dorabji Tata Trust and Sir Ratan Tata Trust had unanimously resolved and recommended the extension of my next term for a period of five years (after February 20, 2027), which was recorded and recommended by the Tata Sons Nomination and Remuneration Committee and the Board. Subsequently, the resolution was tabled in the Tata Sons Board on February 24, 2026. However, the proposal was not carried through because one of the Board Members did not support it, and in the absence of unanimous support, I chose to defer the decision," the statement read.
Chandrasekaran said six months had passed since the board meeting without a resolution being reached. He said clarity on leadership was important as Tata Sons has several strategic projects at critical stages.
"Under these circumstances, earlier today, I have communicated to the Tata Sons Board, that I have decided not to offer myself for reappointment when my term ends on Feb 20, 2027. I have asked the Board to decide on the succession soon to ensure a proper transition."
Tata Trusts and Tata Sons tensions
The decision comes amid reported tensions between Tata Sons and Tata Trusts, including disagreements over board representation, group strategy and the proposed exit of minority shareholder Shapoorji Pallonji.
Tata Trusts chairman Noel Tata had opposed Chandrasekaran’s reappointment, according to the copy.
Tata Sons oversees major businesses including Tata Consultancy Services, Tata Motors and Air India. During Chandrasekaran’s tenure, the group dealt with several major challenges, including the Air India crash, pressure on TCS and a cyberattack at Jaguar Land Rover.
Tata stocks fall after announcement
Shares of several Tata Group companies declined following the announcement. At 11.30am, Tata Power was down 1.26%, TCS had fallen 3.9%, while Tata Steel was down 1.83%.
Chandrasekaran joined the Tata Group in 1987 and became CEO of TCS in 2009. He took over as chairman of Tata Sons in 2017 and has led the group for nearly a decade.
