Tata Trusts chairman Noel Tata will step down from the boards of six major Tata Group companies on November 12, when he turns 70, in accordance with the conglomerate's retirement policy for non-executive directors.
The planned departures will see him relinquish his positions as non-executive chairman of Trent, Voltas, Tata Investment Corporation and Tata International, besides stepping down as non-executive vice-chairman of Tata Steel and Titan Company.
However, Tata will continue as chairman of Tata Trusts and as its nominee director on the board of Tata Sons, the holding company of the conglomerate.
The changes come amid an ongoing governance dispute between Tata Trusts and Tata Sons over the proposed reappointment of N Chandrasekaran as chairman of the holding company. However, Tata's retirement from the six boards is part of the group's established age-related policy and is not linked to the leadership disagreement.

Under the Tata Group's retirement framework, non-executive directors ordinarily step down upon reaching 70 years of age. Tata's departure from the six companies follows this provision.
The decision had been indicated months earlier. During Trent's annual general meeting in June, Tata informed shareholders of his intention to relinquish his chairmanship. He subsequently made a similar announcement at Voltas, stating that it would be his final annual general meeting as chairman.
The retirement will bring changes to the leadership structures of the six companies, although succession arrangements have not yet been announced.
Their respective boards will be responsible for determining the appointments and governance arrangements required following his departure.

Despite leaving the six company boards, Tata will retain significant responsibilities within the conglomerate through Tata Trusts, which collectively holds approximately 66 per cent of Tata Sons.
The retirement policy applicable to non-executive directors of operating companies does not impose the same age ceiling on Tata Trusts' nominee directors at Tata Sons. Their directorships are subject to annual reviews after they turn 75.
This provision allows Tata to remain on the holding company's board while continuing to lead the philanthropic trusts that exercise substantial influence over the group's governance.
A similar distinction applied to Ratan Tata, who relinquished the chairmanship of Tata Sons in December 2012 but continued heading Tata Trusts.

The board changes coincide with disagreements over Chandrasekaran's proposed third term as Tata Sons chairman and the question of whether the holding company should pursue a public listing.
At a September 17 board meeting, four directors supported Chandrasekaran's reappointment, while Noel Tata opposed the resolution. Tata Trusts subsequently maintained that the resolution was invalid under Tata Sons' Articles of Association because it lacked the required support of the trusts' nominee directors.
Chandrasekaran had earlier communicated his decision not to seek another term after his current tenure expires on February 20, 2027. The dispute has centred on attempts to revisit that decision and the procedure for selecting the next chairman.
Nevertheless, Tata's departure from the six operating-company boards had been planned before the latest disagreement intensified and should not be interpreted as a consequence of the dispute.

The six companies have yet to announce who will assume the positions being vacated by Tata. Their boards are expected to determine the necessary succession arrangements in accordance with their governance procedures.
His departure will reduce his direct boardroom responsibilities across several Tata businesses but will not mark his retirement from the group's central decision-making structure.
As Tata Sons navigates its leadership transition, Tata's continued presence at Tata Trusts and on the holding company's board will keep him involved in major governance decisions.
