Foreign private equity and infrastructure funds are increasingly turning to minority equity stakes and debt financing to expand their exposure to India’s rapidly growing data centre industry rather than pursuing outright acquisitions, according to S&P Global Ratings. The approach allows overseas investors to deploy capital more quickly into digital infrastructure while avoiding some of the regulatory complexities associated with full cross-border takeovers.
In its report, Sustainability Insights: Opportunity Versus Risk: The Real Decider Of Data Centre Growth In Emerging Markets, S&P Global Ratings said India has entered a rapid capacity-expansion phase, supported by growing participation from global infrastructure firms and private equity investors. Structured financing, including minority equity investments and convertible debt, is increasingly connecting domestic data centre operators with global pools of capital.
Capacity set to surge
The influx of institutional money has helped push India’s planned data centre project pipeline to about 2.7 times the country’s existing capacity. S&P expects significant expansion across emerging markets in Asia-Pacific, the Middle East, Africa and Latin America, with India among the markets showing the strongest potential growth.
The ratings agency said supportive policies adopted by several states have also encouraged investment. These include granting infrastructure status to data centres, offering single-window clearances and providing incentives related to land and floor-area ratios, although the policy environment continues to differ considerably between states.
India’s growing attractiveness comes as the government seeks to position the country as a major global data centre hub. Commerce and Industry Minister Piyush Goyal this week said the industry represented a potential $200-billion investment opportunity, with the government focusing on reliable power, ready-to-use land and streamlined approvals to accelerate expansion.
Infrastructure risks remain
S&P, however, warned that the speed of development could be constrained by infrastructure bottlenecks, particularly limited grid transmission capacity and growing pressure from electricity-intensive artificial intelligence workloads. While electricity-duty waivers and open-access renewable energy procurement have supported developers, rapidly increasing AI-related demand could place additional strain on transmission networks.
Water availability represents another significant concern. S&P assessed India’s water resilience as “low”, citing groundwater depletion in important urban clusters where data centres are expanding. The ability to balance rapid capacity growth with reliable electricity supplies, water availability and supporting infrastructure is therefore expected to play an increasingly important role in determining how quickly India can convert its large project pipeline into operational capacity.
